Flame Angel Terms and Conditions

This Flame Angel Pte. Ltd. (“Flame Angel”) Terms and Conditions (“T&C”), including any additions or amendments to this T&C applies to you or the business you represent if you use www.flame-angel.com for services such as buying and selling products and services, and placing, accepting, managing and fulfilling orders (“Services”). This T&C describes the terms and conditions, contains limitations and gives various powers and authority to Flame Angel Pte. Ltd. (incorporated in Singapore with Company Reg. No.202145115H) when using www.flame-angel.com to conduct transactions. You agree to be bound by any additional agreements and any amendment or modification to this T&C.

The T&C may be modified by Flame Angel. It is your responsibility to check for updates.

1. Personal Information:

By using Flame Angel, you agree to the collection, transfer, storage and use of your personal information by Flame Angel, in accordance with Flame Angel’s privacy policy.

2.Representations and Warranties:

If you are accessing or using Flame Angel as an individual person, you represent and warrant that you are of sufficient age and capacity to use Flame Angel and you agree to be bound by the T&C. If you are accessing or using Flame Angel on behalf of an entity, you represent and warrant to Flame Angel that you have authority to accept the T&C on behalf of that entity and that entity agrees to be bound by the T&C.

3. Use:

Unless licensed by Flame Angel in a separate agreement, you agree:

a) not to combine or integrate Flame Angel with any software, technology, services, or materials that interact or interoperate with Flame Angel, such as for downloading, uploading, creating/accessing/using an account, posting, flagging, emailing, searching, or mobile use, except the general purpose web browsers and email clients or any software, technology, services, or materials that is authorised by Flame Angel.

b) not to copy or collect Flame Angel content using robots, spiders, scripts, scrapers, crawlers, or any other automated or manual methods

c) not to copy, modify, or distribute any other person’s content without their consent;

d) not to collect Flame Angel user information or interfere with Flame Angel

e) not to post any threatening, abusive, defamatory, obscene or indecent material

f) not to post any misleading, unsolicited, and/or unlawful postings/communications/accounts

g) not to post content that is prohibited by any of Flame Angel’s policies or rules

h) not to use Flame Angel in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.

i) not to distribute spam, chain letters, or promote pyramid schemes

j) not to distribute viruses or any other technologies that may harm Flame Angel or the interests or property of Flame Angel’s users

k) not to impose or contribute to imposing an unreasonable load on Flame Angel’s infrastructure or interfere with the proper working of Flame Angel;

l) not to buy or sell Flame Angel accounts

m) not to abuse Flame Angel ‘s flagging or reporting processes

n) hat Flame Angel may, in its sole discretion, moderate use or access to Flame Angel by blocking, filtering, re-categorizing, re-ranking, deleting, delaying, holding, omitting, verifying, or terminating your access/license/account

o) not to rent, lease, sell, publish, distribute, license, sublicense, assign, transfer, or otherwise make available Flame Angel

p) not to copy, adapt, create derivative works of, decompile, reverse engineer, translate, localize, port or modify any website code, or any software used to provide Flame Angel

q) not to circumvent any functionality that controls access to or otherwise protects

r) not to remove or alter any copyright, trademark or other proprietary rights notices

s) that when you give Flame Angel content, you grant Flame Angel and represent that you have the right to grant Flame Angel, a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise any and all copyright, publicity, trademarks, design, database and intellectual property rights to that content, in any media whether now known or to be discovered in the future including, without limitation, on any third party Platforms and media channels

t) that by giving Flame Angel content, you grant Flame Angel the right to display such content on Flame Angel, social media and other platforms.

4. Other Platforms:

Flame Angel may display your ad on other sites or on third party platforms, including social media channels. By using Flame Angel, you agree that your ads can be displayed on other sites or on third party platforms.

5. Fees:

When you subscribe and use chargable services, you authorize Flame Angel to charge your account.

If your payment method fails, without prejudice to any other right or remedy, Flame Angel may limit your ability to use the services.

Any tax is additional. Fees are non-refundable, even for posts that have been removed, delayed, omitted, re-categorized, re-ranked, or otherwise moderated. Flame Angel may refuse any posting.

Unless otherwise stated, all fees are in US dollars.

6. Liability:

You agree not to hold Flame Angel responsible for things other users post or do.

Flame Angel do not guarantee the accuracy of postings or user communications or the quality, safety, or legality of what’s offered.

In no event does Flame Angel accept liability of any description for the posting of any unlawful, threatening, abusive, defamatory, obscene or indecent information, or material of any kind which violates or infringes upon the rights of any other person, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any applicable law.

You acknowledge that Flame Angel cannot guarantee continuous, error-free or secure access to its services or that defects in the service will be corrected. While Flame Angel will use reasonable efforts to maintain an uninterrupted service, it cannot guarantee this and Flame Angel do not give any promises or warranties (whether express or implied) about the operation and availability of the sites, services, applications or tools.

Flame Angel is not liable for any direct, indirect, consequential, incidental, special, punitive, or other losses, including lost profits, revenues, data, goodwill and so on arising from or related to Flame Angel, and in no event shall such liability exceed $100 or the amount you paid Flame Angel in the 12 months prior to the action giving rise to liability.

If you have a dispute with one or more Flame Angel users, you release Flame Angel (and its officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known or unknown, arising out of or in any way connected with such disputes.

7. Claim:

Any claim, cause of action, demand, or dispute arising from or related to Flame Angel (“Claims”) will be governed by the laws of the Federated States of Micronesia. Any Claims will be exclusively resolved by courts in the Federated States of Micronesia. You agree to:

a) submit to the personal jurisdiction of courts in the Federated States of Micronesia;

b) indemnify and hold Flame Angel harmless from any Claims, losses, liability, or expenses (including attorneys’ fees) that arise from a third party and relate to your use of Flame Angel; and

c) be liable and responsible for any Claims Flame Angel may have against your officers, directors, employees, agents, affiliates, or any other party, directly or indirectly, paid, directed or controlled by you, or acting for your benefit.

8. Miscellaneous:

Unless you have entered into a separate written or electronic agreement with Flame Angel that expressly references the T&C, this is the exclusive and entire agreement between Flame Angel and you, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

The liability and claims sections survive termination of the T&C, and you will remain bound by those sections. If a T&C term is unenforceable, it shall be limited to the least extent possible and supplemented with a valid provision that best embodies the intent of the parties.

The English version of the T&C controls over any translations.
